Social Media Management Terms & Conditions

1. Who We Are
These Terms & Conditions apply to all Social Media Management services provided by Laminar Coaching, LLC, doing business as Laminar Digital Solutions (“Laminar,” “we,” “our,” or “us”).
By accepting these terms, you (“Client”) agree to the conditions outlined below.
2. Scope of Services
Laminar provides done-for-you social media management, which may include:
Content planning and scheduling
Reel editing and optimization
Caption writing and hashtag research
Posting to Instagram, Facebook, and TikTok
Engagement support (based on package level)
Performance tracking and reporting
🚫 Not included:
Filming or photography
On-site content creation
Long-form scripting
Influencer outreach
Guaranteed results
Any work outside this scope requires a separate agreement or add-on.
3. Client Responsibilities
To deliver services effectively, Client agrees to:
Provide raw content (short videos, photos, or media) on a monthly basis
Upload content on time to avoid posting delays
Grant posting and management access to social platforms
Respond to requests for clarification when needed
Failure to provide content may result in paused posting without refund or extension.
4. Content Ownership & Usage
If hosting or security services are provided:
Client retains ownership of all original content provided
Client grants Laminar a limited, non-exclusive license to edit, post, and distribute content during the service term
Laminar may reference publicly posted or anonymized content for portfolio or marketing purposes unless Client opts out in writing
5. Term & Commitment
Services require a minimum commitment of 3, 6, or 12 months, as selected at checkout.
Early cancellation does not remove payment obligations
Service continues through the agreed term unless terminated for breach
6. Fees & Payments
Fees are billed monthly unless otherwise stated
A $200 onboarding fee applies unless waived
Payments are non-refundable once services begin
Missed or failed payments may result in paused services
7. No Guarantees
Client understands and agrees that:
Laminar does not guarantee followers, engagement, leads, or revenue
Social media performance depends on consistency, platform algorithms, and audience behavior
Services are provided on a best-effort, strategy-led basis.
8. Revisions & Feedback
Minor edits are included based on package level
Unlimited revisions are not included unless explicitly stated
Requests beyond scope may require additional fees or an upgrade
9. Communication
Primary communication occurs via email or client portal
Typical response time is 1–2 business days
Emergency or same-day requests are not guaranteed
10. Delays & Pauses
If Client fails to provide content or approvals:
Posting may pause
The service term does not automatically extend
Laminar is not responsible for performance gaps caused by delays
11. Limitation of Liability
Laminar is not responsible for:
Platform outages or algorithm changes
Account restrictions imposed by social platforms
Lost revenue, leads, or business opportunities
Total liability is limited to fees paid by Client in the 30 days prior to any claim.
12. Confidentiality
Both parties agree to keep confidential any sensitive or proprietary information shared during the engagement.
13. Independent Contractor
Laminar operates as an independent contractor. This agreement does not create an employment, partnership, or joint venture relationship.
14. Governing Law
These Terms & Conditions are governed by the laws of the state in which Laminar Coaching, LLC is registered.
15. Acceptance of Terms
By checking the acceptance box and submitting the Intake form, Client confirms that:
They have read and understood these Terms & Conditions
They agree to be legally bound by them
Continued use of services constitutes ongoing acceptance
